Forming a Texas Professional Corporation

A professional corporation is a corporation which is formed in accordance with the Texas Professional Corporation Act for the purpose of rendering a professional service. Professional services include any type of personal service that requires the individual providing such service to obtain a license, permit, certificate of registration, or other legal authorization. For example, attorneys, accountants, physical therapists, optometrists, as well as numerous others can form professional corporations. Physicians, surgeons and other doctors of medicine may not form professional corporations, however, they can form a Professional Association. Other professionals such as engineers, securities brokers, real estate agents, architects, and court reporters, form Corporations instead of professional corporations. Like a corporation, a primary benefit of a professional corporation is that it may protect its shareholders from liabilities or corporate debts.

Legal fees for forming a Texas Professional Corporation are $500 plus filing fees. This includes two hours of legal consultation, and preparation of all necessary professional corporation documents.
