Forming a Texas Limited Partnership

A limited partnership is a legal entity designed to carry on a business, which is comprised of one or more general partners and one or more limited partners. General partners manage the business and are personally liable for the debts of the partnership. Limited partners do not participate in the management of the business, and they are not personally liable for the debts of the partnership beyond the amount of his or her capital contribution to the partnership. Both general partners and limited partners share in the profits of a limited partnership.
