Forming a Texas Limited Liability Partnership

A limited liability partnership is a variation of a limited partnership with modified liability consequences. The partners in a limited liability partnership are not individually liable, in certain circumstances, for debts and obligations of the partnership arising from errors, omissions, negligence, incompetence, or malfeasance committed by other partners in the course and scope of partnership business, so long as the partner(s) committing such act was not under the supervision or direction of the partner seeking to shield himself from liability. The limitation of liability does not protect a partner who directly participated in the wrongful act or who knew or should have known of the wrongful act at the time it occurred. Additionally, the limitation of liability only applies to the causes of action that are described above. Finally, the limitation of liability does not protect the assets of the partnership.
