Forming a Texas Corporation

A corporation is formed under the laws of a state, and is a separate and distinct legal entity. As a separate and distinct legal entity, a corporation can enter into contracts, initiate lawsuits and be sued in its own name. A primary advantage of the corporate form is that it may protect individuals from corporate debts and liabilities.
